What does an NDA mean?

NDA means non-disclosure agreement: a contract in which one or both parties promise to keep specified information confidential. Share it outside the agreed circle and you are liable for the consequences.

Its purpose is to make conversations possible. Businesses need to show partners, contractors, and buyers sensitive material, client lists, pricing, product plans, before trust exists. The NDA substitutes legal accountability for that missing trust.

Someone wants an NDA when what they are about to tell you has value that leaks: a founder pitching developers, a company onboarding a freelancer, parties exploring an acquisition. NDAs come one-way, protecting only the discloser, or mutual, protecting both. Mutual is the fair default when information flows in both directions, which in real working relationships it usually does.
