What is the independent contractor agreement?

An independent contractor agreement is the contract between a business and a self-employed worker that establishes a non-employment relationship. It defines the services, payment, timeline, and ownership of work, and, critically, documents that the contractor controls how the work gets done.

The standard version contains the service description, compensation and invoicing terms, the contractor's independence (own tools, own schedule, other clients allowed), IP assignment, confidentiality, insurance and tax responsibility, and termination terms.

How it works legally: the agreement is evidence, not magic. Regulators applying the DOL and IRS tests look at the actual relationship, so the paper must match reality.
